Agreement

For purposes of these Terms and Conditions, "The Essentials.AI," "We," "Our," or "Us" means MLDSS and its The Essentials.AI website, platform, products, services, contractors, and authorized service providers. "You" or "Your" means the person accessing the Site or Services, or the business or legal entity that person is authorized to represent.

These Terms apply to the website at theessentials.ai, related pages and forms, demonstrations, communications, support interactions, reseller and partner inquiries, and The Essentials.AI services and tools that reference these Terms.

Scope of Services

The Essentials.AI provides a website, product information, demonstrations, business communications, reseller and partner inquiry workflows, and access to technology services, software, AI-assisted tools, automation tools, reporting, CRM, translation, workforce, quality assurance, support, and related operational capabilities that may be offered from time to time.

The Services, tools, platform, software, AI-assisted capabilities, workflows, documentation, and related technology are licensed for use, not sold. Access to the Services does not give You any ownership interest in The Essentials.AI, its software, its tools, its platform, or any related intellectual property.

Certain Services may be provided through subscriptions, pilot programs, demonstrations, professional services, managed services, support arrangements, reseller or partner programs, integrations, or separate written agreements. Some Services may have additional requirements, limits, documentation, service descriptions, pricing, or order terms.

Acceptance of Terms

By accessing or using the Site or Services, submitting information through a form, requesting a demonstration, communicating with Us, becoming a customer, or allowing others to use the Services on Your behalf, You agree to these Terms and Our Privacy Policy.

If You use the Site or Services on behalf of a business or other legal entity, You represent that You have authority to bind that entity to these Terms. If You do not agree to these Terms, You may not access or use the Site or Services.

Eligibility and User Responsibilities

You represent and warrant that You are at least 18 years old, that the information You provide to Us is accurate and complete, that You will comply with applicable laws and regulations, and that You will use the Site and Services only for lawful business purposes.

You are responsible for maintaining appropriate access controls, credentials, device security, backups, permissions, authorizations, and internal policies for Your users, systems, and data. You are responsible for all activity occurring under accounts, credentials, integrations, or systems that You control.

Customer Data, Backups, and Authorization

You are solely responsible for maintaining and backing up all information, data, text, files, records, transcripts, messages, customer information, employee information, system information, and other materials that You submit to or use with the Services, unless a separate written agreement states otherwise.

You represent and warrant that You have all rights, notices, consents, permissions, and authorizations necessary to submit Customer Data to the Services and to allow The Essentials.AI to process that Customer Data for the purposes of providing, supporting, securing, and improving the Services.

The Essentials.AI is not responsible for loss, corruption, deletion, inaccuracy, or unauthorized submission of Customer Data except to the extent expressly required by applicable law or a separate written agreement.

AI-Assisted Features and Outputs

The Services may include AI-assisted features, analytics, translations, summaries, recommendations, classifications, automations, reports, and other generated outputs. AI-assisted outputs may be incomplete, inaccurate, delayed, or unsuitable for a particular use case.

You are responsible for reviewing, validating, approving, and determining whether AI-assisted outputs are appropriate before relying on them or using them in customer, employee, legal, financial, operational, employment, safety, or other business decisions.

The Services are intended to support human judgment and operational workflows. They are not a substitute for professional advice, independent verification, management oversight, or legal, financial, medical, or regulatory review.

Communications, Support, and Monitoring

You may initiate communications with Us by telephone, email, online forms, text message, chat, remote session, or other means made available by Us. We may provide support, demonstrations, onboarding, and other Services through remote access tools, online meetings, telephone, chat, email, or other channels.

We may monitor, record, review, or retain support calls, demonstrations, remote sessions, chat messages, text messages, and online interactions for service delivery, quality assurance, training, security, troubleshooting, internal market research, and business improvement purposes, where permitted by law.

SMS and Text Messaging

We do not use SMS or text messaging for unsolicited promotional messaging. Text messaging, when used, is intended for troubleshooting, ticket requests, support communications, service communications, reseller or business follow-up, and active communications initiated by or related to a User, customer, prospect, or authorized representative.

Message frequency varies based on the nature of the request, active communication, or service relationship. Message and data rates may apply. To stop receiving text messages from a text messaging line, reply STOP where supported. For assistance, reply HELP where supported or contact Us directly at info@theessentials.ai.

Accounts, Passwords, and Security

Certain Services may require registration, account credentials, role-based access, API credentials, integrations, or administrative controls. You are responsible for maintaining the confidentiality of credentials and for all activity under accounts or systems You control.

You must promptly notify Us if You become aware of unauthorized access, credential compromise, security incidents, or misuse involving the Site or Services.

Fees, Billing, and Subscriptions

Fees, billing terms, subscription terms, implementation costs, support fees, renewal terms, and payment obligations may be set forth in an order form, invoice, quote, online checkout flow, service description, reseller agreement, partner agreement, or separate written agreement.

Unless a separate written agreement states otherwise, fees are non-refundable once Services have been provided, subscriptions may renew according to the applicable order terms, and You are responsible for applicable taxes, payment information, and charges associated with Your selected Services.

Acceptable Use and Restrictions

You may not use the Site or Services for any illegal, harmful, fraudulent, abusive, infringing, unauthorized, or disruptive purpose. You may not attempt to access systems, data, networks, accounts, or functionality without authorization.

You may not interfere with or disrupt the Site or Services, probe or test system vulnerabilities without written authorization, transmit malware or harmful code, use the Services to send spam or unsolicited commercial communications, violate the rights or privacy of others, misrepresent identity or affiliation, or use the Services in a way that could damage The Essentials.AI, Our customers, Our suppliers, or other users.

You may not resell, sublicense, lease, rent, transfer, copy, modify, reverse engineer, mirror, scrape, white-label, distribute, host, make available, or commercially exploit the Site, Services, software, content, or documentation except as expressly permitted in a written agreement with Us.

Confidentiality and Submissions

If You submit comments, ideas, suggestions, feedback, or other non-confidential materials to Us, You grant Us the right to use them without restriction or compensation. Do not submit confidential, proprietary, regulated, sensitive, or third-party information unless You are authorized to do so and the applicable Service is intended for that information.

Each party may have access to confidential information under a separate written agreement. Any confidentiality obligations in a signed agreement will control to the extent they conflict with these general website Terms.

Ownership and Limited License

The Site, Services, software, content, designs, text, graphics, logos, names, marks, documentation, workflows, technology, and other materials made available by The Essentials.AI are owned by or licensed to MLDSS, The Essentials.AI, or their licensors and are protected by copyright, trademark, trade secret, and other laws.

Subject to these Terms and any applicable written agreement, The Essentials.AI grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services during the applicable term solely for Your authorized business purposes.

The Essentials.AI is licensed, not sold. You receive access rights only. No ownership, title, equity, source code rights, object code rights, platform rights, model rights, workflow rights, documentation rights, trademark rights, patent rights, trade secret rights, derivative work rights, or other intellectual property rights are granted, assigned, or transferred to You.

MLDSS, The Essentials.AI, and their licensors retain all right, title, and interest in and to the Site, Services, platform, software, architecture, source code, object code, APIs, connectors, models, prompts, workflows, automations, interfaces, dashboards, reports, templates, translations, documentation, training materials, names, logos, marks, updates, enhancements, improvements, and derivative works.

Your use of Customer Data with the Services does not give The Essentials.AI ownership of Your Customer Data. However, You grant The Essentials.AI the rights necessary to host, process, transmit, display, secure, support, troubleshoot, and improve the Services as described in these Terms, Our Privacy Policy, and any applicable written agreement.

AI-assisted outputs, reports, translations, recommendations, configurations, automations, or other results generated through the Services do not transfer ownership of the underlying Services, software, AI systems, methods, workflows, templates, models, prompts, business logic, or technology used to create them.

No reseller, partner, customer, user, or third party may represent that they own The Essentials.AI, its Services, its tools, its software, or its intellectual property. Resale, referral, implementation, support, certification, or partner rights exist only if expressly granted in a separate written agreement with Us. All rights not expressly granted are reserved by The Essentials.AI, MLDSS, and their licensors.

Third-Party Services and Integrations

The Site or Services may include, connect to, reference, or rely on third-party websites, platforms, APIs, software, models, communications providers, hosting providers, payment providers, analytics providers, or other services. Third-party services may be governed by their own terms, privacy policies, security practices, availability, and fees.

We are not responsible for third-party websites, products, services, acts, omissions, outages, policies, or information except to the extent expressly stated in a separate written agreement.

Service Availability and Modifications

The Site and Services may not always be available and may be interrupted by maintenance, updates, outages, security events, third-party failures, network issues, or other causes. We may modify, suspend, discontinue, or limit access to any part of the Site or Services at any time, subject to any separate written agreement that applies.

We may refuse, suspend, or terminate access to the Site or Services if We believe use is unauthorized, unlawful, fraudulent, harmful, abusive, insecure, excessive, or in violation of these Terms or an applicable agreement.

Disclaimers

EXCEPT AS EXPRESSLY PROVIDED IN A SEPARATE WRITTEN AGREEMENT, THE SITE, SERVICES, SOFTWARE, CONTENT, AI-ASSISTED FEATURES, OUTPUTS, REPORTS, TRANSLATIONS, RECOMMENDATIONS, AND SUPPORT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, UNINTERRUPTED OPERATION, ERROR-FREE OPERATION, AND RESULTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ESSENTIALS.AI, MLDSS, AND THEIR AFFILIATES, SUPPLIERS, CONTRACTORS, REFERRAL PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST SALES, LOST REVENUE, LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE, SERVICES, SOFTWARE, CONTENT, OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT PAID BY YOU FOR THE SERVICES AT ISSUE DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR US $100.00, UNLESS A SEPARATE WRITTEN AGREEMENT STATES OTHERWISE.

Indemnification

You agree to defend, indemnify, and hold harmless The Essentials.AI, MLDSS, and their affiliates, suppliers, contractors, referral partners, directors, officers, employees, agents, and service providers from and against claims, damages, liabilities, losses, costs, and expenses arising out of or related to Your use of the Site or Services, Your Customer Data, Your violation of these Terms, Your violation of law, or Your violation of the rights of another person or entity.

Arbitration and Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. TO THE EXTENT PERMITTED BY LAW, YOU AND THE ESSENTIALS.AI AGREE THAT CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR THE SERVICES WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT, EXCEPT THAT EITHER PARTY MAY SEEK RELIEF IN SMALL CLAIMS COURT IF THE CLAIM QUALIFIES.

The arbitration will be conducted on an individual basis. Class actions, class arbitrations, private attorney general actions, and consolidation with other proceedings are not permitted unless applicable law requires otherwise. The arbitrator may award relief only between You and Us and only to the extent necessary to resolve the individual claim.

This arbitration provision does not prevent either party from seeking temporary or preliminary injunctive relief in court to protect confidential information, intellectual property, systems, security, or unauthorized use.

Governing Law

These Terms are governed by the substantive laws of the State of Alabama, United States of America, without regard to conflicts of law rules that would require the application of another jurisdiction's laws. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

Changes to These Terms

We may update these Terms from time to time. When We make changes, We may update the effective date. Your continued access to or use of the Site or Services after changes are posted means You accept the updated Terms.
